ASSISTANT GENERAL COUNSEL
Gold prices have surged to a new all-time high, driven by a wave of investor demand for safe-haven assets. Our client acquires producing royalties with extensive expertise in royalty generation and exploration optionality to deliver near-term revenue and long-term discovery exposure. Their share price has tripled in the past 18 months and the company has a compelling growth story that has established them as the newest mid-tier entity in the royalty space. With that hyper growth brings on the need to add an Assistant General Counsel to assist the Chief Legal Officer and business until leaders with operational and land management legal matters. This role will include providing in-house legal support to the business units with respect to day-to -day transactions.
This position will be a critical part of the Legal Team to assist in meeting the Company’s goals, supporting global business units and safeguarding interests
DUTIES AND RESPONSIBLITIES Include:
Work with the global business teams to advise on and manage a wide range of legal issues and consummate day to day agreements (royalty agreements, share purchase agreements, financing documents, confidentiality agreements, consulting agreements, service agreements, etc.
Provide dedicated legal support to the Generative Exploration Team working with local counsel to negotiate, draft, and review global agreements including option, royalty, and share purchase agreements for a variety of projects ensuring alignment with company objectives and risk management strategies.
Work with the Chief Legal Officer, the Land team and business unit managers to track the Company’s global mineral rights to ensure that all claims, licenses and permits are in good standing.
Support corporate transactions, including securities offerings, financings, investments, acquisitions and divestitures and other strategic transactions.
Ensure agreements and business practices comply with relevant laws, regulations, and internal policies. Proactively identify potential legal risks and work with business teams to mitigate them.
Drive continuous improvement to ensure long term alignment with Company’s strategic direction and best practices which includes conducting periodic reviews and updates of the Company’s agreement forms.
Work with the Chief Legal Officer to conduct periodic reviews and updates to employee handbooks as necessary to reflect the Company’s then current policies and changes to laws and regulations.
Liase with the Finance team on a regular basis to assist with internal control requirements for the purpose of financial reporting and SOX compliance.
Assist the Chief Legal Officer and Corporate Secretary with global corporate governance matters, including board, committee and shareholder matters, and with maintenance of related policies and charters.
Be a trusted and pragmatic business partner, responding in a timely and productive manner to requests from internal customers.
Establish and navigate strong business relationships to enable constructive resolutions to complex operational challenges.
WORKING CONDITIONS:
The position is located in their Denver corporate office. This AGC will be working closely with the CLO and Executive team and will require to work on site in their Denver office – no remote option available!
Some travel may be required to Company’s Vancouver and London headquarter locations.
Flexibility to attend meetings at off-hours to accommodate global time zones.
EXPERIENCE AND BACKGROUND REQUIRED:
Juris Doctor (JD) or equivalent law degree from an accredited institution
Admitted to the bar and in good standing or otherwise authorized to practice law.
Minimum 4-5 years of legal experience in a fast-paced, high-growth environment. 2-3 years of law firm experience preferred.
To succeed in this role, it will require legal expertise in gold and/or oil and gas royalties.
Preferred experience working with international locations.
Demonstrate strong verbal and written communication skills. Understanding of change management methodologies and approaches.
Proven ability to manage heavy workload in a demanding, high-pressure environment.
Strong PC skills using MS office.
COMPENSATION
Base Salary Range: $175,000-$200,000 Compensatory with background and experience.
Target Annual Bonus: 25%
LTI/Equity Grant/s Target: 30-35%
