Corporate Associate – Los Angeles
A highly regarded law firm is seeking a skilled Corporate Associate with 3–4 years of experience to join its dynamic Corporate Practice in Los Angeles. This position offers a unique opportunity to work closely with senior attorneys on sophisticated business transactions across a broad spectrum of industries and clients nationwide.
Ideal Candidate Profile:
• Deep knowledge of federal securities laws, rules, and regulations.
• Proven experience handling a broad range of corporate transactions, including:
• Private offerings of equity securities
• Mergers and acquisitions
• Joint ventures
• General corporate governance and advisory matters
• Experience that will make a candidate stand out includes:
• Representing venture capital, growth equity, or private equity firms in fund formations and ongoing operational and regulatory matters.
• Familiarity with regulatory frameworks, including the Investment Company Act, Investment Advisers Act, and the Securities Act.
• Fund formation experience, particularly with LLC and LP structures, and drafting associated documentation.
• Strong ability to analyze complex corporate structures and provide practical solutions.
• Exceptional communication skills, both written and verbal, for client interaction and drafting of transactional documents.
• Ability to work collaboratively on team-driven deals while managing independent responsibilities.
• Demonstrated dedication to client service and high professional standards.
• Experience at a major law firm is preferred.
• Strong academic credentials and admission to the State Bar of California are required.
Compensation:
• The anticipated base salary range for this full-time role is $225,000 to $250,000 per year.
• Actual salary will depend upon several factors, including, but not limited to, relevant experience, job-related skills, and qualifications.
