As part of its continued growth, the firm is seeking to recruit a highly experienced and driven Corporate & Commercial Lawyer to join its team.
This position is suited to a legal professional with a strong background in corporate and commercial law who is capable of autonomously managing complex matters and transactions. The successful candidate will handle sophisticated advisory and transactional work while contributing to the firm’s strategic growth and development.
Seniority will be determined based on the candidate’s experience, competencies, and demonstrated professional capabilities.
Key Responsibilities
- Draft and review corporate documentation, including resolutions, minutes, powers of attorney, Memorandum & Articles of Association, Shareholders’ Agreements, Share Purchase Agreements, joint venture and partnership agreements
- Draft and negotiate a wide range of commercial contracts and legal instruments
- Undertake corporate procedures with the Department of the Registrar of Companies and Intellectual Property
- Provide coherent and commercially focused legal advice on corporate, commercial, regulatory, and related matters
- Conduct legal research on Cyprus, UK and EU legislation and case law
- Draft detailed legal opinions and advisory memoranda
- Apply AML, KYC and GDPR procedures in accordance with applicable regulations
- Act as a focal point of contact for key clients and manage ongoing client relationships
Guide clients through governmental and regulatory procedures, liaising with authorities including:
- Registrar of Companies
- Immigration Authorities
- Department of Lands and Surveys
- Tax Department
- Labour Office
- CySEC
- Cyprus Stock Exchange
- Banking institutions in Cyprus and abroad
- Attend meetings with clients in Cyprus and internationally
- Represent the firm at professional, promotional, and networking events
- Collaborate with colleagues across the firm on corporate and commercial mandates
- Contribute articles and publications for the firm’s website and professional outlets
- Participate in strategic planning and marketing initiatives
Requirements
- Minimum 5 years of post-qualification experience in Corporate & Commercial law
- LLB
- Member of the Cyprus Bar Association
- In-depth knowledge of Companies Law and related legislation
- Proven experience handling diverse corporate and commercial transactions
- Excellent written and verbal communication skills in Greek and English (additional languages advantageous)
- Proficiency in Microsoft Office Suite
- Strong analytical, organisational and problem-solving skills
- LL.M., BPTC or LPC (will be considered an advantage)
