Position Title: Senior Paralegal


The Senior Paralegal will work directly with the General Counsel focusing on (i) comprehensive review and negotiation of contracts, NDAs, corporate agreements and transactional documents, (ii) complex corporate structuring and preparation of organizational and governing documents (including operating agreements, resolutions, incumbency certificates, etc.) for corporations, limited partnerships, and limited liability companies, (iii) coordinating pending litigation with counsel and insurance carriers, and (iv) record maintenance and organization across the real estate fund platforms.


Key Responsibilities


· Preparing and reviewing deal structure charts, and explaining the ownership structure to lenders and partners

· Forming corporate entities and drafting the formation and organizational documents

· Drafting, reviewing and negotiating confidentiality agreements, property listing agreements, and other routine contracts

· Tracking legal and tax updates related real estate transactions, from engagement through closing (including loan modifications and dispositions)

· Coordinating with insurance carriers on the status of pending litigation

· Assisting with preparation of periodic regulatory filings and other compliance efforts affecting the client's operations.

· Supporting corporate/real estate transactions and closings, including preparation of authorizing resolutions and coordinating document execution

· Maintaining records and deal files for pending and closed transactions

· Fulfilling regular know-your-client requests while maintaining absolute confidentiality

· Maintaining Lender Licenses on NMLS


Qualifications


· 6+ years of experience as a paralegal (or similar)

· Bachelor's Degree from an accredited College or University

· Advanced knowledge of intricate corporate ownership structuring and drafting LLC agreements

· Strong contract negotiation skills and communication skills (both written and oral)

· Excellent organizational skills

· Knowledge of real estate documents relating to acquisitions, financings and dispositions
