Overview 

Our client is seeking a skilled Mid-Level Associate – Capital Markets to join its Corporate & Securities Practice Group in New York. This is an exciting opportunity to work on high-profile capital markets transactions, including IPOs, PIPEs, and public offerings, within a prestigious AmLaw law firm. The ideal candidate will have at least 2 years of experience handling public and private debt and equity offerings, Exchange Act reporting, and corporate governance matters.

Key Responsibilities 

  • Advise public and private companies on capital-raising transactions including debt and equity offerings 
  • Counsel clients on SEC and stock exchange compliance, corporate governance, and public company disclosure obligations 
  • Draft and negotiate securities offering documents, prospectuses, and corporate disclosures 
  • Assist with Exchange Act reporting requirements including 10-Ks, 10-Qs, 8-Ks, and proxy statements 
  • Represent issuers and underwriters in IPOs and follow-on public offerings 
  • Work on PIPEs, M&A transactions, and SEC reporting matters 
  • Ensure compliance with federal and state securities laws and stock exchange regulations 

 

Qualifications & Experience: 

  • 2+ years of experience in capital markets, securities, and corporate governance 
  • Large law firm experience working on public and private securities transactions 
  • Strong knowledge of SEC regulations, Exchange Act reporting, and corporate governance matters 
  • Excellent drafting, negotiation, and analytical skills 
  • Ability to manage multiple complex transactions in a fast-paced environment 
  • Admission to the New York Bar (required)
