How You’ll Contribute to Our Partner’s Success:

The General Counsel serves as the chief legal advisor, delivering both strategic and operational legal leadership across the organization. This role works closely with executive leadership, operations, food safety/quality assurance, HR, and supply chain teams to manage legal risk and ensure full regulatory compliance across the business. This individual is responsible for overseeing corporate governance, regulatory compliance, commercial transactions, litigation, employment matters, food safety, animal welfare, environmental compliance, and legislative affairs. The role also supports family governance, ownership succession planning, land and agricultural assets, and other intergenerational considerations unique to privately held agribusinesses.

Key Responsibilities:

• Provide legal counsel to the CEO, Board of Directors, and executive leadership on strategy, governance, and risk mitigation.
• Support corporate governance activities including board meetings, resolutions, entity management, and subsidiary compliance.
• Ensure adherence to all applicable regulations, including USDA, FDA, OSHA, EPA, and relevant state agencies.
• Collaborate with FSQ and operations teams on food safety regulations, labeling requirements, HACCP programs, and preventive controls.
• Oversee compliance across multiple states, including labor laws, environmental regulations, and agricultural standards.
• Draft, review, and negotiate a wide range of commercial agreements, including supply, vendor, and capital project contracts.
• Lead the management of litigation and disputes, including product liability, recalls, employment matters, and environmental issues.
• Partner with HR to ensure compliance with employment laws, including wage and hour regulations, workplace safety, and internal investigations.
• Provide legal guidance on environmental and agricultural compliance, including water usage, air quality, land use, and sustainability efforts.
• Advise on animal welfare standards, audit processes, and certification requirements.
• Support risk management initiatives and insurance programs, including liability and coverage strategies.
• Assist with mergers, acquisitions, joint ventures, and financing activities.
• Drive intellectual property strategy, including trademarks, trade secrets, and copyrights.
• Build and lead the internal legal function while overseeing external counsel relationships.
• Develop internal policies, compliance training programs, and promote a culture of ethical business practices.

Qualifications:

• Juris Doctor (JD) from an accredited law school.
• Active bar license in good standing.
• 10+ years of legal experience, either in a law firm or in-house setting.
• Background in food production, agriculture, manufacturing, or CPG industries.
• Strong proficiency in commercial transactions and regulatory compliance.
• Excellent analytical, legal drafting, and interpersonal communication skills.

Preferred:

• Experience working with USDA and/or FDA regulations.
• Background in recall management and crisis response.
• Experience supporting operations across multiple states.
• Exposure to agriculture, food science, or live production environments.
