This is a full-time role for a 1940 Act Paralegal with our law firm client. Our client thrives as a high-paced, high-demand, and dedicated team, and they are looking for a motivated professional ready to grow with them. The ideal candidate will be responsible for helping prepare regulatory filings, conducting research and analysis, coordinating board and committee meetings, and maintaining records. The 1940 Act Paralegal will work closely with attorneys, clients, and other professionals to provide support for investment advisers and registered investment companies under the Investment Company Act of 1940.
Responsibilities:
- Prepare regulatory filings for investment companies including registration statement amendments (N-1A), annual and semi-annual reports (N-CSR) with the Securities and Exchange Commission (SEC).
- Organize and maintain legal files and documents, including regulatory filing calendars.
- Organize and manage board of directors and committee meetings.
- Prepare board meeting materials, including agendas, resolutions, Board calendars, Board meeting minutes and coordinate Board reports for other fund service providers.
- Assist with the preparation of annual report filings, registration statement updates filings, and other filings that investment companies routinely submit to the SEC; prepare prospectuses, SAIs and Part Cs for new fund offerings.
- Communicate with clients and other parties involved in fund client matters, including fund administration, fund transfer agent, distributor and investment adviser and outside fund auditors.
- Perform other duties as assigned.
Qualifications:
- Bachelor's degree in legal studies or Paralegal Studies or equivalent experience
- Minimum of 5 years of experience as a paralegal in a law firm or legal department, experience with the Investment Company Act of 1940 preferred
- Demonstrated proficiency in navigating and utilizing the Electronic Data Gathering, Analysis, and Retrieval (EDGAR) system. Extensive experience in accessing, retrieving, and analyzing relevant financial and regulatory information filed with the SEC
- Exceptional analytical and organizational skills, with a high degree of attention to detail
- Excellent communication and interpersonal skills, with the ability to work collaboratively as a member of a team
- Demonstrated ability to manage multiple projects and priorities in a fast-paced environment
- Proficiency in Microsoft Office Suite and Adobe Acrobat
- Proficiency in a web-based board book management system such as Boardvantage or Diligent
