Our client is a boutique corporate and securities law firm that represents public and private companies, underwriters, and investors in a wide range of domestic and cross-border capital markets transactions. The firm offers an entrepreneurial culture, sophisticated work, and direct client engagement across IPOs, follow-on offerings, and private placements.



 

Position Overview

The firm is seeking a Corporate Paralegal with significant securities and capital markets experience to support its active public company and underwriter practice. The ideal candidate will be comfortable managing complex due diligence and SEC filing processes while working closely with attorneys, issuers, and regulators.

 



Essential Functions

  • Collaborate with underwriters, issuers, and regulators on:
  • IPOs
  • SEC-registered follow-on offerings
  • At-the-market (ATM) programs
  • Registered direct offerings
  • Private and exempt offerings
  • Manage the due diligence process for SEC-registered public offerings, including document organization, review, and disclosure coordination.
  • Draft, proof, and assist with SEC filings, registration statements, and offering documentation.
  • Coordinate information among company executives, auditors, and transfer agents.
  • Maintain deal timelines and closing documentation for securities transactions.

 



Required Experience

  • Extensive securities experience in public SEC practice with public companies.
  • Prior experience representing underwriters on public offerings, particularly in public offering due diligence.
  • Strong familiarity with SEC regulations, disclosure obligations, and corporate governance requirements.
  • Ability to work independently and meet deadlines in a fast-paced transactional environment.

 




Education & Qualifications

  • Bachelor’s degree (B.A. or B.S.) required.
  • Demonstrated expertise in securities transactions and capital markets.
  • Fluency in Mandarin Chinese (reading and writing) required.
  • Excellent attention to detail, communication, and organizational skills.
