§ Title: Senior Associate – Private Credit & Leveraged Finance

§ Salary: $365,000 to $420,000 Base Salary (Subject to adjustment based on specific geographic location and candidate seniority, complemented by a premier benefits package and performance-based incentives).

§ Duties:
The selected candidate will assume a central role in the execution of high-stakes financial transactions, acting as a primary point of contact for sophisticated lenders and private equity sponsors. The role demands an intricate understanding of the current credit market and the ability to navigate complex intercreditor dynamics. Specific responsibilities involve:
⨖ Orchestrating the legal architecture for sponsor-backed acquisition financings, including cross-border and multi-currency arrangements.
⨖ Drafting and negotiating definitive documentation for unitranche, first-out/last-out, and senior-stretch credit facilities.
⨖ Managing the lifecycle of syndicated debt offerings and asset-based lending structures for a diverse array of industry sectors.
⨖ Counseling clients on liability management transactions, including uptier exchanges, drop-down structures, and comprehensive covenant resets.
⨖ Advising on subordinated debt, mezzanine financing, and structured preferred equity co-investments.
⨖ Facilitating complex refinancing, recapitalizations, and amend-and-extend transactions for portfolio companies.
§ Qualifications:
Candidates must meet the following stringent criteria to be considered for this senior-level opportunity:
⨖ Juris Doctor from an ABA-accredited law school with a record of academic distinction.
⨖ Active Bar admission in good standing in at least one of the following jurisdictions: New York, Florida, Massachusetts, Illinois, Georgia, North Carolina, or Texas.
⨖ Five (5) to seven (7) years of substantive experience in leveraged finance or private credit at a reputable national or international law firm.
⨖ Proven track record of leading complex debt transactions from inception through closing with minimal supervision.
⨖ Exceptional drafting capabilities regarding credit agreements, security instruments, and intercreditor agreements.

⨖ Prior experience within a "New York style" BigLaw finance environment, demonstrating the ability to thrive under high-pressure deadlines.
⨖ Mastery of current market terms for sponsor-backed finance and a deep understanding of evolving liability management strategies (LMEs).
⨖ Superior commercial awareness and the ability to translate complex legal risks into actionable business advice for sophisticated financial institutions.
⨖ Advanced communication skills and the interpersonal gravitas necessary to manage relationships with opposing counsel and C-suite client contacts.
⨖ A proactive, self-starting disposition with the leadership capacity to mentor junior associates and manage multi-disciplinary workstreams.
