There's an urgent need for a globally renowned innovative law firm to bring on a 2-4 year associate, which means they have HAD to have graduated between 2022 and 2024. There are NO exceptions to this rule, however much lienency elsewhere given the opportunity here. Read below:

Long-term investment outlook (When this firm has initiatives life this, they have a tried and true plan of bolstering a practice group or perhaps if it was a smaller firm we might consider that it is a brand new practice group, but I am confident there would be at least 3 experienced partners at each of the following locations which they are looking to hire this Junior Associate Attorney at Cravath-scale. There is no stated preference.

COMPENSATION & BENEFITS:

If you're not familiar with Cravath-scale, a 2nd year makes $245k now and a 4th year would be $305k base salary (I believe? they just raided it this year) –

REQUIRED QUALIFICATIONS & CREDENTIALS:

HERE'S THE KICKER

They are not necessarily requiring someone have that type of background in corporate life science transactional, although that would be a huge preference, they will consider strong client-facing associates from private equity, structured fiance and other high-society industry

  • Education: Juris Doctor (JD) from an accredited ABA-approved law school with exceptional academics and extracurriculars, networks, etc./
  • Bar Admission: Active membership in good standing with the bar of the state in which the position is located (or eligibility to obtain admission promptly)
  • Experience: 2–4 years (law school grad of '22-'24) with a focus on complex corporate and commercial transactions in a preferably Chamber's-Ranked practice group or highly reuptable law firm that teaches how to become an excellent and happy attorney. This experience at comparable law firms includes demonstrated experience in public company work, registered equity offerings, and M&A transactions
  • Skills: Outstanding academic credentials; exceptional written and verbal communication skills; proven ability to work both collaboratively in teams and independently on substantial deal components; strong business judgment and attention to detail


DAY-TO-DAY RESPONSIBILITIES:

Successful candidates will join a dynamic practice group that concentrates on corporate transactions for cutting-edge, high-growth life sciences, healthcare, and technology companies operating in the United States, Asia, and globally. Day-to-day responsibilities include:

  • Structuring and executing equity financing transactions, including venture capital financings, PIPE transactions, and registered direct offerings
  • Managing initial public offerings (IPOs) and follow-on public offerings, including drafting and reviewing registration statements, underwriting agreements, and related disclosure documents
  • Advising on mergers and acquisitions (M&A) for both public and private company transactions, including asset purchases, stock acquisitions, and reverse mergers
  • Providing ongoing Securities and Exchange Commission (SEC) representation and counsel on securities law compliance, periodic reporting (Forms 10-K, 10-Q, 8-K), proxy statements, and Section 16 filings
  • Handling corporate governance matters, including board resolutions, committee charters, stockholder agreements, and corporate structuring
  • Supporting public company representation across the full lifecycle, from pre-IPO preparation through post-IPO continued compliance and governance
  • Managing substantial components of transactions independently while collaborating within deal teams
  • Building and maintaining client relationships with venture-backed private and public companies, as well as institutional investors in the life sciences and healthcare sectors
