Corporate Partner (Aerospace & Defense)

§ Salary: $300,000.00 to $500,000.00 Annually (Commensurate with historical portable book of business, plus performance bonuses and comprehensive executive benefits)
§ Schedule: Full-time, Direct-Hire, Minimum 1,850 hours annual billed target

The firm's corporate practice routinely handles high-complexity transactions for middle-market and enterprise entities, private equity sponsors, and venture capital funds. Embracing an entrepreneurial and inclusive culture, the firm empowers lateral partners to expand their client base through an extensive cross-selling network spanning key aerospace, defense, and government contracting centers.
§ Duties: The incoming Corporate Partner will serve as a lead strategic advisor to enterprise companies, defense contractors, private equity funds, and venture capital firms operating within the defense, aerospace, and government services sectors.
Primary responsibilities include: ⨖ Counsel private equity sponsors, venture capital investors, and corporate acquirers on structuring, negotiating, and executing complex mergers, acquisitions, divestitures, and joint ventures within the defense and aerospace industries. ⨖ Advise defense technology companies, government contractors, and growth-stage enterprises on corporate governance, capital raises, recapitalizations, and strategic exit opportunities. ⨖ Draft and negotiate purchase agreements, operating contracts, equity holder arrangements, and auxiliary corporate transaction documentation. ⨖ Oversee comprehensive legal due diligence, identifying commercial, regulatory, and operational transaction risks specific to defense sector clients. ⨖ Collaborate across multi-disciplinary firm practice groups to deliver holistic legal solutions addressing national security, regulatory compliance, intellectual property, and government contracting nuances. ⨖ Actively drive practice expansion, leverage portable client relationships, and mentor junior corporate associates.
§ Qualifications: ⨖ Juris Doctor (J.D.) degree from an ABA-accredited law school with excellent academic credentials. ⨖ Active Bar admission in good standing in the state corresponding to the primary office location. ⨖ Fifteen (15) to twenty-five (25) years of meaningful corporate and transactional experience within a reputable law firm environment. ⨖ An established, portable book of business comprising clients within the defense, aerospace, national security, or government technology sectors. ⨖ Substantive experience managing complex M&A, private equity investments, and strategic corporate transactions from inception through closing.
§ Skills: ⨖ Comprehensive understanding of transaction issues unique to government contractors, including CFIUS reviews, ITAR/EAR compliance considerations, and FOCI mitigation. ⨖ Demonstrated track record advising founders, management teams, and private equity sponsors on middle-market consolidation and recapitalization strategies. ⨖ Exceptional drafting, negotiation, analytical, and client-counseling capabilities. ⨖ Strong leadership acumen with a commitment to cross-selling, team-building, and associate mentorship.
