§ Title: Mid-Level Associate – Energy & Infrastructure Project Finance
Practice Area: Project Development / Debt & Tax Equity Financing / Energy M&A

§ Salary: $310,000 to $420,000 Base Salary (Plus a discretionary year-end bonus and a robust benefits package)
§ Schedule: Full-time, Direct-Hire, Minimum 1,850 hours annual billed

§ Duties:
The incoming Project Finance Associate will act as a core advisor to the firm’s world-class Energy & Infrastructure group, managing the lifecycle of complex domestic and international projects. This role focuses on the sophisticated financial architecture of modern infrastructure.
Core responsibilities include:
⨖ Navigating and structuring complex debt and tax equity financing arrangements for large-scale energy initiatives.
⨖ Executing high-value mergers, acquisitions, and joint ventures within the energy sector, ensuring seamless transition and regulatory alignment.
⨖ Advising institutional investors, developers, and lenders on project development transactions involving renewable energy, traditional power, and transportation infrastructure.
⨖ Drafting and negotiating an array of project documents, including credit agreements, security instruments, and joint venture operating agreements.
⨖ Collaborating with multi-disciplinary teams across global offices to facilitate the closing of multi-billion dollar project portfolios.
⨖ Engaging in the firm’s extensive pro bono initiatives, applying high-level legal acumen to community and social interests.
§ Qualifications:
Candidates must possess an elite academic background and a proven ability to manage high-velocity transactional workloads.
⨖ Juris Doctor (J.D.) from an ABA-accredited law school or equivalent Canadian law degree for the Toronto location.
⨖ Active Bar License in the jurisdiction of the preferred office (TX, NY, DC, or Ontario).
⨖ Three (3) to Six (6) years of substantive law firm experience (Classes of 2019-2022) with a focus on project finance or energy transactions.
⨖ Demonstrated technical proficiency in debt financing and tax equity structures.
⨖ A track record of high academic achievement and the production of superior legal work product.

⨖ Specific experience with Renewable Energy Tax Credits or complex "flip" structures in tax equity.
⨖ Familiarity with cross-border legal frameworks, particularly in the North American energy corridor.
