§ Practice Area: Cross-Border Mergers & Acquisitions / Asia-Pacific Capital Markets & Corporate Governance

§ Location: Atlanta, GA | Washington, DC | New York, NY | Los Angeles, CA

§ Salary: $300,000.00 to $500,000.00 Annually

(Commensurate with historical and portable book of business, plus merit bonus opportunities and comprehensive executive benefit package)

§ Schedule: Full-time, Direct-Hire, Minimum 1,850 hours annual billed target

§ Duties:

The incoming Partner will join a distinguished international corporate practice, serving as a primary legal advisor to South Korea-based enterprises, multinational conglomerates, and investment entities operating within the United States.

Core responsibilities include:

⨖ Structuring, negotiating, and executing complex cross-border mergers and acquisitions, divestitures, joint ventures, and strategic corporate alliances.

⨖ Advising institutional clients and fund sponsors on private equity investments, private fund formation, venture capital financing, and capital structure optimization.

⨖ Counseling enterprise executives and boards of directors on capital markets transactions, public and private securities issuances, and regulatory compliance under United States securities frameworks.

⨖ Providing comprehensive general corporate representation and strategic business counsel to foreign entities establishing or expanding commercial operations within domestic jurisdictions.

⨖ Cultivating and expanding high-value client relationships with Asia-Pacific commercial enterprises while leveraging the firm's multi-disciplinary platform to drive strategic practice growth.


§ Qualifications:

Candidates must possess an established legal reputation, sophisticated transactional expertise, and demonstrated business generation capability.

⨖ Juris Doctor (J.D.) degree from an ABA-accredited law school with distinguished academic credentials.

⨖ Active Bar admission in good standing in at least one United States jurisdiction where the firm maintains an office (or immediate eligibility for admission on motion or by examination).

⨖ Extensive, senior-level transactional legal experience handling complex corporate, securities, capital markets, and cross-border M&A transactions.

⨖ An established and portable book of business, alongside a proven track record of sustaining relationships with Korean-based or international commercial clients.

⨖ Superior drafting, negotiation, analytical, and executive-level client counseling capabilities.


§ Skills:

The following credentials and attributes are highly preferred to ensure immediate integration and long-term practice expansion:

⨖ Bilingual fluency in English and Korean, with demonstrated capacity to conduct complex legal negotiations and draft transactional documentation in both languages.

⨖ Deep familiarity with cross-border trade, foreign direct investment regulations, and regulatory oversight governing international enterprise expansion between East Asia and North America.

⨖ Proven leadership capabilities in mentoring junior associates and directing multi-jurisdictional deal teams across complementary legal disciplines.

⨖ High commercial acumen with a strategic mindset toward cross-selling firm-wide capabilities in intellectual property, real estate, labor and employment, and international tax.
