Corporate & Transactional Counsel | Mid to Senior-Level Associate 💰

§ Salary: ⨖ New York, NY & Washington, D.C.: $310,000 to $395,000 Base Salary ⨖ Boston, MA: $280,000 to $360,000 Base Salary ⨖ Philadelphia, PA: Market-competitive rate specific to geographic location (Comprehensive compensation package includes performance-based monetary bonuses, full medical/dental/vision coverage, life/disability plans, 401(k) retirement matching, commuter benefits, and well-being programs)

The firm’s Corporate, M&A, and Securities Practice Group is ranked highly in prestige, delivering high-stakes transactional counsel to middle-market enterprises, global entities, and private equity sponsors. Known for maintaining a collegiate, collaborative environment, the platform provides senior-level mentorship and substantive client-facing exposure. This role offers a dedicated track for self-motivated attorneys eager to build a long-term, lucrative practice within a growth-oriented corporate group.


§ Duties: The incoming Corporate Associate will join a dynamic practice group and manage sophisticated transactional matters from inception to closing. The attorney will serve as an integral team member on mid-market to large-scale deals, driving transaction execution and strategic risk advisory.

Core responsibilities include:

⨖ Architecting and executing complex transactional structures for public and private mergers, acquisitions, strategic investments, and joint ventures.

⨖ Representing private equity sponsors, growth equity funds, and portfolio companies across all stages of investment, buyouts, and divestitures.

⨖ Drafting, reviewing, and negotiating core transactional agreements, including stock purchase agreements, asset purchase contracts, operating agreements, and merger instruments.

⨖ Counseling business entities on general corporate governance, commercial contract compliance, organizational structuring, and ongoing operational strategies.

⨖ Conducting and managing multi-faceted due diligence processes, identifying liabilities, and synthesizing strategic recommendations for senior stakeholders.


§ Qualifications:

⨖ Juris Doctor (J.D.) from an ABA-accredited law school with outstanding academic and professional credentials.

⨖ Active Bar admission in good standing in the respective jurisdiction of the seated office (MA, NY, PA, or D.C.).

⨖ Four (4) to Seven (7) years of dedicated legal experience handling broad-based corporate matters, M&A, and private equity transactions within a reputable law firm setting.

⨖ Exceptional drafting, analytical, and oral communication skills, with a proven track record of handling client-facing responsibilities.

⨖ Demonstrated interpersonal adaptability, self-motivation, confidence, and a team-oriented mindset.


§ Skills:

⨖ Substantive legal knowledge of federal and state securities laws (including private placements, regulatory compliance, and reporting).

⨖ Experience navigating corporate finance transactions, leverage buyouts, debt instruments, and credit facilities.

⨖ Proven capacity to independently manage transaction workflows, direct due diligence teams, and interface directly with executive leadership and investors.
