§ Duties:
The incoming Practice Group Leader will carry a dual mandate: executing sophisticated corporate transactions at the highest level while spearheading the firm's commercial growth and presence throughout Connecticut. Serving as the primary architect for complex business combinations, this partner-track professional will guide clients through the entire lifecycle of high-stakes corporate transitions, transforming strategic commercial intent into meticulously structured legal realities.
Core responsibilities include:
⨖ Directing and managing all strategic and operational facets of complex mergers, acquisitions, divestitures, asset conversions, and corporate joint ventures.
⨖ Structuring, authoring, and negotiating primary and ancillary transactional instruments, including bespoke purchase agreements, letters of intent, shareholder compacts, and operating frameworks.
⨖ Overseeing multi-disciplinary due diligence investigations to isolate operational, regulatory, and financial risks, subsequently engineering creative contractual mitigations and closing mechanisms.
⨖ Providing ongoing, high-level corporate governance counsel to middle-market entities, private equity syndicates, and closely held businesses regarding fiduciary duties and long-term compliance strategies.
⨖ Cultivating and expanding a robust, portable book of business by leveraging local professional networks, accounting alliances, and institutional referral pipelines.
⨖ Collaborating with specialized internal practice groups—including tax, real estate, and employment—to deliver holistic, friction-free legal representation on multifaceted corporate maneuvers.

§ Qualifications:
Candidates must present a distinguished professional history and the established commercial originations required to successfully launch and sustain a regional practice group.
⨖ Juris Doctor from an ABA-accredited institution with an exemplary academic record.
⨖ Active Bar Admission in good standing with the State of Connecticut, with supplementary New York admission viewed favorably.
⨖ Ten (10) or more years of concentrated, sophisticated experience handling mid-market corporate mergers, acquisitions, and transactional law.
