Summary:
The Healthcare Transactional post for a leading New Jersey private practice law firm will lead the transactional practice for clients in the healthcare and life sciences industries. This role requires deep expertise in structuring, negotiating, and executing complex mergers, acquisitions, joint ventures, and other strategic transactions. The ideal candidate will possess a strong book of business and a proven ability to attract and retain clients, while providing sophisticated, business-focused legal counsel.
Key Responsibilities:

Lead Transactions: Serve as the lead legal advisor on high-value healthcare transactions, including mergers, acquisitions, dispositions, and private equity investments.

Negotiation & Drafting: Draft and negotiate complex corporate and transactional documents, such as asset purchase agreements, stock purchase agreements, operating agreements, and professional services agreements.

Strategic Advisory: Advise clients—including hospitals, health systems, physician groups, and private equity firms—on corporate governance, deal structure, and risk mitigation.

Due Diligence: Oversee and conduct comprehensive due diligence to identify and manage regulatory, operational, and financial risks inherent in healthcare transactions.

Client Management: Build and maintain strong client relationships, serving as a trusted advisor and proactively identifying new business opportunities.

Mentorship & Leadership: Mentor and supervise junior associates, fostering their professional growth and ensuring the delivery of high-quality legal work.
Required Qualifications:
- Juris Doctor (J.D.) from an accredited law school.
- Admission in good standing to the New Jersey Bar (New York Bar is a plus).
- Minimum of 10+ years of dedicated experience in healthcare transactional law.
- Demonstrated expertise and a portable book of business.
- Exceptional business acumen, with the ability to provide practical, solution-oriented advice.
