§ Location:

Hartford, Connecticut; or Greenwich, CT

§ Salary:

$195,000 to $250,000 Base Salary (Commensurate with experience, and if there's a portable book involed. Also includes traditional comprehensive benefits)

§ Schedule:

Full-time, Direct-Hire, Minimum 1,850 hours annual billed target.

Duties:

The selected associate will assume a critical role within a dynamic corporate practice, steering middle-market and institutional clients through transformative capital events. This position requires a strategic thinker capable of synthesizing dense financial scenarios into actionable legal frameworks.


Core responsibilities include:

⨖ Orchestrating the complete lifecycle of complex corporate acquisitions, dispositions, and mergers on behalf of diverse business entities.

⨖ Drafting, reviewing, and negotiating a vast array of transactional documents, including asset purchase agreements, operating agreements, and intricate commercial contracts.

⨖ Facilitating corporate restructuring initiatives and advising leadership teams on paramount corporate governance and regulatory compliance matters.

⨖ Conducting rigorous due diligence investigations to uncover and mitigate latent liabilities ahead of major financial transactions.

⨖ Serving as a primary point of contact for sophisticated clients, ensuring seamless communication and alignment with their overarching commercial objectives.


Qualifications

Applicants must exhibit the professional maturity and legal acumen necessary to execute high-stakes transactions.

⨖ Juris Doctor from an ABA-accredited institution with distinguished academic credentials.

⨖ Active Bar Membership in Connecticut and preferably an LLM in a Tax or similar focus.

⨖ A minimum of two years of substantive, direct experience practicing corporate and business law at a reputable firm.

⨖ Superior analytical judgment and the ability to proactively identify and resolve complex legal impediments during fast-paced deal cycles.


Skills

The following attributes are strongly preferred and will distinguish among other candidates:

⨖ Direct experience representing private equity sponsors or venture capital funds in portfolio company investments.

⨖ Familiarity with specialized financing mechanisms, debt restructuring, or cross-border transactional considerations.

⨖ A demonstrated history of independent matter management coupled with a collaborative, team-oriented disposition.
