§ Title: Mid-Level Banking and Finance Counsel | Associate Attorney

§ Practice Area: Global Corporate Finance / Leveraged Finance / Commercial Lending

§ Location: Chicago, Illinois

§ Salary: $260,000 to $390,000 Base Compensation (Complementary incentive structure features premier market-level year-end bonuses and comprehensive benefits encompassing employer-funded health coverage, retirement facilities, and competitive paid time off.)

§ Schedule: Full-time, Direct-Hire, Minimum 1,900 hours annual billed target.

§ Duties: The selected attorney will immediately assume a pivotal role within the finance group, driving monumental domestic and international corporate lending transactions. This position requires an astute understanding of market-leading debt structures and the ability to execute sophisticated financial closures seamlessly. Core responsibilities include: ⨖ Drafting, meticulously reviewing, and fiercely negotiating primary credit agreements, security instruments, and intercreditor arrangements for both senior and subordinated debt. ⨖ Managing the comprehensive deal execution process from initial term sheet structuring through to final closing deliveries for highly complex leveraged buyouts and acquisition financings. ⨖ Collaborating synergistically with multidisciplinary practice groups, including mergers and acquisitions, tax, and restructuring, to deliver cohesive, strategic legal counsel to a highly sophisticated client base. ⨖ Structuring intricate mezzanine financing and asset-based lending facilities while ensuring strict alignment between credit document provisions and broader commercial acquisition agreements. ⨖ Serving as a primary point of contact for premier private equity sponsors and institutional lenders, delivering precise risk assessments and commercial mitigation strategies.

§ Qualifications: Absolute requirements for the role are as follows to ensure the candidate can thrive within this rigorous and high-caliber environment. ⨖ Juris Doctor degree earned from a highly competitive, top-tier ABA-accredited academic institution. ⨖ Active admission in good standing to the Illinois State Bar, or immediate eligibility to waive in via reciprocity. ⨖ Three to six years of substantive, direct transactional experience within a globally recognized or elite mid-market firm’s banking or finance practice. ⨖ Demonstrated track record of leading and closing complex, large-scale lending and financial transactions. ⨖ Impeccable academic credentials coupled with superior drafting prowess, sharp analytical capabilities, and sophisticated communication faculties.

§ Skills: The following attributes are not strictly required but will heavily distinguish an applicant's candidacy: ⨖ Specific exposure to cross-border financial transactions involving European, Latin American, or Asian jurisdictions. ⨖ Deep familiarity with bespoke financial instruments such as unitranche facilities, preferred equity financings, and debtor-in-possession lending. ⨖ Proven ability to manage the workflow of junior associates and paralegals efficiently while driving large-scale deal mechanics. ⨖ Substantive experience advising on nuanced regulatory considerations inherent to global capital markets and banking compliance.
