**Job Description:**

Our client seeks a highly qualified mid-level associate to join our dynamic Intellectual Property Transactions & Strategies (IPTS) group in our San Francisco office. The ideal candidate will possess strong experience in technology and intellectual property licensing and other technology transactions, as well as in providing IP support for M&A and other corporate transactions, including conducting thorough intellectual property and technology due diligence. This is an excellent opportunity to join a leading IPTS practice and work on sophisticated matters for a diverse client base.


**Responsibilities:**

*  Drafting, negotiating, and advising clients on a broad range of technology and intellectual property agreements, including:

  *  Joint development agreements

  *  Collaboration agreements

  *  Strategic alliance agreements

  *  Technology and intellectual property licenses

  *  Services agreements (including Software-as-a-Service (SaaS) agreements)

  *  Distribution agreements (including OEM, VAR, and other reseller agreements)

*  Conducting intellectual property and technology due diligence in connection with M&A, financing, and other corporate transactions.

*  Identifying and analyzing intellectual property risks and opportunities in the context of corporate transactions.

*  Providing strategic advice on intellectual property protection and enforcement.

*  Keeping abreast of developments in intellectual property law and technology trends.

*  Working collaboratively with partners, senior associates, and other legal professionals.


**Qualifications:**

*  Juris Doctor (JD) degree from an accredited law school.

*  Admission to the California bar or eligibility to obtain admission promptly.

*  Demonstrated experience drafting and negotiating the agreements listed in the Responsibilities section.

*  Strong understanding of intellectual property law, including patent, trademark, copyright, and trade secret law.

*  Strongly preferred: Experience with open source software license terms.

*  Strongly preferred: Experience with intellectual property issues presented by artificial intelligence technology and tools.

*  Outstanding academic credentials.

*  Excellent written and verbal communication skills, with the ability to communicate complex legal concepts clearly and concisely.

*  Exceptional analytical and problem-solving skills.

*  Ability to work independently and as part of a team.

*  Strong organizational skills and attention to detail.

*  Commitment to providing excellent client service.
