Job Title: Securities Attorney

Salary/Payrate: $210K-$270K annually and AWESOME benefits!!!

CANDIDATES MUST BE FLUENT IN MANDARIN

 

Our client represents clients in the public listing of companies, raising capital, SEC-compliance, securities offerings, general corporate and commercial law, and domestic and international mergers and acquisitions. Our client works with North American, Asian, and international issuers and investors and registered broker-dealers. They are seeking an attorney with experience in capital markets/securities transactions and public company compliance.

 

Essential Functions (what you will be doing):

 

  • Work with underwriters, issuers, and regulators related to IPOs, SEC registered follow-
  • on offerings, ATMs, registered direct offerings, and private/exempt offerings.
  • Due diligence, including US SEC-registered public offering due diligence process
  • Learning to draft SEC filings and correspondence, including Exchange Act compliance.
  • Learning to manage NYSE, NASDAQ, and OTC compliance for public company clients.
  • Exchange Act reporting and compliance:
  • Annual and quarterly reports (Forms 10-K, 20-F, and 10-Q)
  • Current reports (Form 8-K, 6-K)
  • Proxy statements/proxy contests (Schedule 14A)
  • Information statements (Schedule 14C)
  • Tender offer statements (Schedule TO)
  • Insider filings (Forms 3, 4 and 5, Schedules 13G and 13D)

 

Required Experience:

  • Minimum of 1 to 3 years of relevant securities experience in public SEC practice with public companies, including extensive experience representing underwriters on public offerings, particularly experience with public offering due diligence.

 

Education and Qualifications:

  • This position requires a J.D. from an accredited law school.
  • 1 to 3 years of relevant securities experience.
  • Fluency in Mandarin Chinese (including reading/writing).
