Corporate Transactions Associate Attorney

Location: San Diego, CA

Compensation: $120,000–$180,000 per year (based on experience) + performance-based incentive bonus

This is an excellent opportunity for a motivated attorney seeking hands-on experience with high-value transactions, direct client exposure, and mentorship from leading partners in the field.

Key Responsibilities

  • Lead and support clients in commercial real estate acquisitions, dispositions, and development projects across multiple asset classes, including multi-family, office, retail, industrial, and undeveloped land.
  • Draft, review, and negotiate a wide range of commercial contracts, including purchase and sale agreements, construction agreements, and lease documents for both landlords and tenants.
  • Represent borrowers and lenders in secured financing transactions such as term loans, construction loans, permanent financing, and credit facilities.
  • Advise clients on entity formation and structuring, including corporations, partnerships, and LLCs, as well as ongoing governance and compliance matters.
  • Conduct detailed due diligence, including title, zoning, land use, and environmental reviews to identify and mitigate transactional risks.
  • Collaborate with internal teams on matters involving tax planning, entitlement strategy, and risk management to ensure comprehensive client service.
  • Maintain strong client relationships through clear communication, responsiveness, and a practical, business-oriented approach to problem-solving.

Qualifications

  • Juris Doctor (JD) from an ABA-accredited law school.
  • Active member in good standing of the California Bar.
  • 2–7 years of experience in transactional law, with a focus on real estate, finance, and/or corporate matters.
  • Proven ability to draft and negotiate complex legal documents with precision and efficiency.
  • Strong attention to detail and organizational skills, capable of managing multiple concurrent transactions.
  • Excellent communication, client service, and interpersonal skills.

Preferred Experience

  • Advanced degree such as an LL.M. in Taxation or Real Property Law.
  • Experience with public-private partnerships, land entitlement, or development projects.
  • Background representing institutional lenders or large-scale commercial developers.
  • Strong business judgment and ability to translate legal issues into strategic, commercially viable advice.
