Corporate Associate Attorney:
Practice Area: Nonprofits & Tax-Exempt Corporations
Location: Multiple (TX, FL, PA)
Salary: $200,000 to $325,000 base + bonus based on annual billables (1,850+)

We are seeking a motivated and highly skilled associate to join our client's specialized team. In this role, you will be instrumental in advising nonprofit entities on a broad range of legal and tax matters.

Your day-to-day responsibilities will involve providing guidance on organizational formation, securing and maintaining tax-exempt status, and ensuring operational compliance with federal, state, and local regulations.

You will conduct in-depth legal research and analysis, focusing on topics such as corporate governance, fundraising, and charitable solicitations.
- A key part of the role includes supporting clients in managing restricted gifts, including endowments and donor-advised funds, and navigating the complexities of the Uniform Prudent Management of Institutional Funds Act (UPMIFA).

Additionally, you will assist with the tax implications of corporate transactions, such as mergers and joint ventures, and draft a variety of legal documents, including policies, grant agreements, and memoranda.

Required Qualification:
- A Juris Doctor (J.D.) from an ABA-accredited law school.
- Admission to the State Bar in the state of practice, or the ability to become licensed.
- 3-5 years of post-graduate experience with a dedicated focus on tax and exempt organizations.
- Demonstrated ability to perform legal research, analysis, and drafting.
- Strong academic background and excellent writing skills.
Preferred Credentials:

An LL.M. in Taxation.
- Familiarity with corporate governance requirements for nonprofit organizations.

Experience with supporting organizations, social welfare organizations, and community foundations.
- Experience in healthcare transactions is a plus.
