Corporate Chancery & Commercial Litigation Associate
§ Practice Area: High-Stakes Business Disputes, Fiduciary Duty, Chauncery Coutrt, and Corporate Governance
§ Location: Wilmington, DE
§ Salary: $205,000 to $275,000 Base Salary (Subject to experience and internal parity, supplemented by a competitive performance-based bonus and comprehensive benefits package)
§ Schedule: Full-time, Direct-Hire, Minimum 1,850 annual billable hour target

§ Duties: The incoming Associate will engage in a sophisticated litigation practice, primarily focused on the Delaware Court of Chancery and the Superior Court’s Complex Commercial Litigation Division. This role is designed for a litigator who thrives in a fast-paced environment and is ready to take on significant responsibility in high-value commercial matters.
⨖ Conducting rigorous legal research and drafting complex pleadings, briefs, and motions for submission to the Court of Chancery and the CCLD.
⨖ Managing various phases of the discovery process, including overseeing document reviews, drafting interrogatories, and preparing for and conducting depositions.
⨖ Assisting in the formulation of comprehensive case strategies for disputes involving corporate control, mergers and acquisitions, and shareholder derivative actions.
⨖ Representing clients in courtroom proceedings, including status conferences, motion hearings, and trial phases.
⨖ Collaborating with partners and senior counsel to advise clients on fiduciary duties, corporate governance best practices, and risk mitigation strategies.
§ Qualifications:
Potential candidates must possess the following foundational requirements to be considered for this elite litigation role:
⨖ Juris Doctor (J.D.) from an ABA-accredited law school with a record of academic excellence.
⨖ Active license to practice law in the State of Delaware, or the ability to be admitted via reciprocity or immediate examination.
⨖ Two (2) to Four (4) years of substantive experience in complex commercial litigation, preferably within a large or mid-sized law firm.
⨖ Proven experience litigating within the Delaware Court of Chancery and the Superior Court Complex Commercial Division.
⨖ Strong interpersonal skills and the professional maturity necessary to interact directly with sophisticated corporate clients.
§ Skills: The following preferences and advanced credentials will be viewed favorably during the evaluation process:
⨖ Completion of a judicial clerkship, particularly within the Delaware Court of Chancery or the Delaware Supreme Court.
⨖ Prior experience handling bankruptcy-related litigation or adversary proceedings.
⨖ Familiarity with the Delaware General Corporation Law (DGCL) and recent developments in fiduciary duty jurisprudence.
⨖ Exceptional drafting skills with an emphasis on clarity, persuasion, and technical precision.
⨖ Experience managing external vendors and coordinating large-scale electronic discovery projects.
